Terms of Service

1. Acceptance

By creating an account or using Riverz you accept these Terms of Service. If you do not agree, do not use the service. If you are accepting on behalf of a company, you represent that you are authorized to bind it.

2. What Riverz is

Riverz is a SaaS platform operated by Excelencia Empire S.A.S. that lets you create AI marketing creatives (images, videos, landings), connect them to Meta Ads and Shopify, and analyze campaign results. The exact scope of features may change; we will notify you of material changes in advance.

3. Account and eligibility

  • You must be at least 18 years old and have the legal capacity to contract.
  • You are responsible for the confidentiality of your session (Clerk). Let us know if you suspect unauthorized access.
  • A person or company may have only one account. Do not sell, sublicense, or transfer your access.

4. Subscription and payments

  • Riverz is offered under a monthly or annual subscription model, processed by Stripe.
  • The applicable price is the one shown at checkout when you subscribe.
  • The subscription renews automatically at the end of each period until you cancel it.
  • You can cancel at any time from Settings → Billing or from the Stripe portal. Cancellation stops renewal; you keep access until the end of the paid period.
  • Refunds: payments are non-refundable unless required by law or unless a service failure prevents you from using the platform for a significant period (case by case, in writing).
  • The credits you buy within Riverz to generate AI content are consumed according to each model cost. Unused credits at account cancellation are non-refundable unless legally required.

5. Your content

You own all the content you upload or generate in Riverz: images, videos, copy, briefs, transcripts, landings. You grant us a limited, non-exclusive, non-transferable license to store, process, and display it within the app, as well as to send it to the AI models and third-party services listed in the Privacy Policy to the extent necessary to provide the service.

We do not use your content to train our own models or the general models of AI providers (all providers we use have a commercial-use opt-out configured).

6. Acceptable use

You may not use Riverz to:

  • Create content that infringes third-party rights (copyright, trademark, likeness, personal data).
  • Create misleading, fraudulent, or illegal material, or material that promotes hate, violence, or discrimination.
  • Generate deep-fakes of real people without their documented consent.
  • Access Meta or Shopify accounts that do not belong to you or that you are not authorized by the owner to access.
  • Automatically scrape the app, bypass our rate limits, or interfere with its operation.
  • Reverse-engineer, decompile, or attempt to extract the source code.
  • Resell access to Riverz to third parties without a written reseller agreement.

Violations may result in immediate suspension without refund and, in serious cases, a report to the relevant authorities.

7. Third-party integrations

Riverz integrates with Meta (Facebook/Instagram Ads) and Shopify, among others. The permissions and terms of those services are yours to accept. Riverz is not responsible for changes to their APIs, rate limits, suspensions, or policies. If Meta or Shopify changes access to its platform, we will adjust Riverz as fast as possible but do not guarantee uninterrupted availability of third-party integrations.

Shopify-specific: when you install Riverz Landing Publisher on your Shopify store you also accept the Shopify API License and Terms of Use and the Shopify Terms of Service. Riverz requests access to the following scopes via OAuth (described in detail in our privacy policy): write_files, write_content, read_products, write_products, read_themes, write_themes. We do not access customer, order, or checkout data. Published landings live as Shopify Pages or Online Store 2.0 Product Templates in your own theme. They are your property and you can edit, export, or delete them directly from Shopify Admin at any time without asking us.

If you uninstall Riverz from Shopify Admin, Admin API access is revoked automatically and our app/uninstalled webhook marks the connection inactive in under 1 second. Published landings stay live (they are files in your theme), but no new publishing is possible until you reinstall the app.

8. Service availability

We make reasonable efforts to keep Riverz available 24/7, but do not guarantee a specific uptime. Planned maintenance (with prior notice where possible) or upstream provider outages (Render, Supabase, Clerk, Stripe, Meta, kie.ai) may occur. We are not responsible for outages caused by third parties, force majeure, or regulatory changes.

9. Riverz intellectual property

The Riverz software, brand, designs, templates, and code are the exclusive property of Excelencia Empire S.A.S. and/or its licensors. These terms transfer no rights over Riverz intellectual property except the limited license to use the service.

10. Termination

  • You can cancel your account at any time from Settings → Close account or by emailing us.
  • We may suspend or terminate your account if you breach these terms, if your payment fails for more than 14 days, or if the law requires it.
  • When the account ends you lose access to the platform and we delete your content in accordance with the Privacy Policy.

11. No warranties

Riverz is offered "as is" and "as available." To the extent permitted by law, we do not warrant that the service will be uninterrupted, error-free, secure against all intrusion, or fit for a particular purpose. Generative AI may produce inaccurate or undesired results; review the output before publishing it.

12. Limitation of liability

To the maximum extent permitted by law, Riverz's aggregate liability to you for any cause related to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect damages, lost profits, loss of data or reputation, or marketing decisions made based on the app output.

13. Indemnification

You agree to hold us harmless against third-party claims arising from (a) your content, (b) your use of the service in violation of these terms, or (c) your breach of applicable legal obligations.

14. Changes to the terms

We may update these terms. Material changes will be notified by email and/or an in-app banner at least 14 days before they take effect. If you keep using Riverz after the effective date, you accept the updated terms; if you do not agree, cancel your account before that date.

15. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Colombia. Any dispute we cannot resolve in good faith will be submitted to the jurisdiction of the competent courts at the domicile of Excelencia Empire S.A.S. in Colombia, without prejudice to consumer rights provided by law.
